    Acquisition of a Controlling Interest of a Domestic Insurance Company

       American International Group, Inc., a Delaware domiciled insurance holding company, has filed an application to acquire control of American General Life Insurance Company of Pennsylvania. The acquisition of control is proposed to be achieved through the merger of Washington Acquisition Corporation, a Texas corporation which is a wholly-owned subsidiary of American International Group, Inc. and American General Corporation, also a Texas corporation. The initial filing was received on June 1, 2001, and was made under the requirements set forth under the Insurance Holding Companies Act (40 P. S. § 991.1401 et seq.). Persons wishing to comment on the grounds of public or private interest in this merger are invited to submit a written statement to the Insurance Department (Department) within 30 days from the date of publication of this notice in the Pennsylvania Bulletin. Each written statement must include the name, address and telephone number of the interested party, identification of the application to which the statement is addressed and a concise statement with sufficient detail and relevant facts to inform the Department of the exact basis of the statement.
